1. Introduction
Welcome to Brogen Motors, operated by Shanghai OE Industrial Co., Ltd. (“Brogen”, “we”, “our”, or “us”). By accessing our website at brogenmotors.com or submitting an inquiry through our contact forms, you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully before proceeding.
These Terms govern your use of our website, products, and services, including the supply of electric vehicle (EV) powertrain systems, components, engineering consultations, and related technical support.
2. Scope of Services
Brogen Motors provides EV powertrain solutions for commercial vehicle OEMs and engineering teams globally. Our offerings include, but are not limited to:
- Electric motors and inverters (PMSM and related technologies)
- E-axle and integrated powertrain systems
- EV battery packs, Battery Management Systems (BMS), and thermal management solutions
- Power electronics including OBC, DCDC, and PDU
- Auxiliary systems such as electric power steering, air compressors, and water pumps
- Complete powertrain integration, system engineering, and validation support
All services and products are intended exclusively for OEM, ODM, and engineering clients. Brogen does not supply directly to individual end consumers.
3. Inquiry and Quotation
Submitting an inquiry through our website does not constitute a binding order or contract. All inquiries will be reviewed by our engineering team, and we reserve the right to decline any inquiry at our discretion.
Quotations provided by Brogen are valid for the period stated in the quotation document. Unless otherwise agreed in writing, quotations are non-binding and subject to change based on material costs, specifications, and availability.
A binding contract is formed only upon the issuance and mutual execution of a formal Purchase Order (PO) or Sales Agreement.
4. Customization and Engineering Requirements
Brogen offers customizable EV powertrain solutions tailored to specific vehicle programs. Customers requesting customized solutions must provide accurate and complete technical specifications, including but not limited to:
- Vehicle type, payload, and application profile
- Required voltage, torque, and power output
- Operating environment and duty cycle
- Certification and compliance requirements
Customers are responsible for the accuracy of specifications provided. Brogen shall not be held liable for system performance issues arising from inaccurate, incomplete, or changed specifications provided by the customer.
Customers integrating Brogen systems into their vehicles must have in-house vehicle control software (VCU) capability. Brogen provides system parameters and technical documentation but does not supply vehicle-level control software unless expressly agreed in writing.
5. Intellectual Property
All content on this website, including text, graphics, product designs, technical documentation, and branding, is the property of Brogen Motors or its licensors and is protected by applicable intellectual property laws.
Technical documents, datasheets, and engineering materials provided to customers are shared solely for the purpose of project evaluation and integration. Customers may not reproduce, distribute, reverse-engineer, or commercially exploit such materials without prior written consent from Brogen.
Any intellectual property developed jointly during a project shall be governed by a separate written agreement between the parties.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of inquiry, quotation, or project collaboration. This includes technical specifications, pricing, business strategies, and product roadmaps.
Confidentiality obligations shall survive the termination of any business relationship for a period of three (3) years unless a separate Non-Disclosure Agreement (NDA) specifies otherwise.
7. Certifications and Compliance
Brogen can assist customers in applying for relevant industry certifications. Certification materials and support provided by Brogen cover standards including UN38.3, R100, and ISO 26262, among others. However, the ultimate responsibility for obtaining and maintaining required certifications lies with the customer.
Customers are responsible for ensuring that products sourced from Brogen comply with all applicable local laws, regulations, and standards in their target markets.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Brogen Motors shall not be liable for:
- Indirect, incidental, or consequential damages arising from the use or inability to use our products or services
- Loss of revenue, profit, or business opportunity
- Damages resulting from customer misuse, incorrect installation, or modification of products
- System incompatibilities arising from inaccurate customer-provided specifications
Brogen’s total liability in connection with any claim shall not exceed the value of the specific order to which the claim relates.
9. Warranty
Brogen Motors provides product warranties as specified in individual Sales Agreements or Purchase Orders. Unless otherwise stated in writing, our standard warranty covers manufacturing defects under normal operating conditions for a period of twelve (12) months from the date of delivery.
The warranty does not cover:
- Damage caused by improper installation, misuse, or unauthorized modification
- Normal wear and tear
- Damage caused by environmental factors outside the specified operating conditions
- Products modified or repaired by parties other than Brogen or its authorized representatives
10. Delivery and Risk
Delivery terms, timelines, and shipping responsibilities will be specified in the applicable Sales Agreement or Purchase Order. Unless otherwise agreed, delivery terms follow Incoterms 2020.
Risk of loss or damage to products passes to the customer upon delivery as defined in the agreed Incoterms. Brogen is not responsible for delays caused by circumstances beyond our reasonable control, including logistics disruptions, customs clearance, or force majeure events.
11. Payment Terms
Payment terms will be specified in each Sales Agreement or Purchase Order. Standard terms require a deposit upon order confirmation, with the balance due prior to shipment unless otherwise agreed in writing.
Brogen reserves the right to suspend order processing or delivery in the event of overdue payments. Any disputes regarding invoices must be raised within fourteen (14) days of receipt.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
If a resolution cannot be reached within thirty (30) days, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Shanghai, China. The arbitration proceedings shall be conducted in English.
13. Amendments to These Terms
Brogen Motors reserves the right to update or modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our website or services after such changes constitutes acceptance of the updated Terms.
For ongoing business relationships, material changes to these Terms will be communicated directly to active clients.
